On July 5, 1956, the city of Madison, a municipal corporation (hereinafter 'city') entered into a contract with the Frank
Lloyd Wright Foundation (hereinafter 'Foundation'), a non-stock, non-profit corporation. This contract was entered into as a result of a $4,000,000 bond issue approved by the electorate of the city for the purpose
of building an auditorium and civic center in the city of Madison at the Monona Terrace site. The election took place on November
2, 1954, and at the same election an advisory referendum endorsed the employment of Frank Lloyd Wright as the architect for
the project. The common council of the city of Madison, on June 28, 1956, authorized the city clerk and the mayor to enter
into the architectural services contract with the Foundation, and the contract was executed on July 5, 1956.
