INTRODUCTION As he drove back to his office, Jeff Ryan was thinking about the meeting he just had with Duane Early, his C.P.A. and trusted business advisor. In the meeting they discussed Jeffs efforts to negotiate the purchase of Ward Stevens Insurance, Inc., an independent insurance agency located about an hour away. Mr. Stevens was seriously considering retirement and was talking with several other independent insurance agency owners about acquiring his agency. Jeff had started Active Insurance, Inc. in Dragitville ten years ago and led its growth to its current position as one of the leading independent insurance agencies in the area. Active Insurance currently employed fifteen agents and had grown at an annual rate of 10-20% per year over the last five years.
