AMENDED OPINION 1 GREENWOOD, Judge: Appellants, Wayne L. and Dianne L. Morse, individually and as Trustees of the Wayne L. Morse Irrevocable Family Trusts (Morses),
appeal the trial court's ruling in their favor, asserting error in the court's legal Conclusions regarding de facto corporations
and corporations by estoppel as well as the court's decision regarding attorney fees. Appellee and Cross-appellant, American
Vending Services, Inc. (AVSI) appeals the trial court's ruling against it, asserting that the trial court erred in finding
that there was insufficient evidence to support AVSI's claims of fraudulent and negligent misrepresentation, breach of contract,
and mutual mistake. We reverse in part and affirm in part. 3
