FACTS. - Brown was the territorial sales agent for Carnes products. Brown arranged for a large sale, which was eventually delayed by the buyer. Brown and Carnes corresponded regarding the commissions to be paid on the sale. Meanwhile, Carnes terminated its contract with Brown under a clause providing that commissions for future sales need be paid only if the sale is completed within 30 days of termination. The large sale was finally completed more than 30 days after termination. Carnes refused to pay commissions to Brown on the large sale.
