FACTS. - Richtron was general partner of several limited partnerships and loaned them funds to meet their expenses when some partners did not pay assessments. Sampson, a lawyer, attended partnership meetings at the request of limited partner clients, but became personally active and took de facto control of the partnerships. He represent several partnerships, partners, and Richtron as attorney, but appears to have neglected certain matters in order to obtain further control. Osborn obtained a judgment in Oregon court against Richtron and sold the judgment to Sampson.
